ONLINE TRANSACTION CONTRACT
This Online Transaction Contract ("Contract") is made and entered into on DATE ("This Date of First Purchase") by and between:
Luxfin Clothing Limited ("Seller") with its principal place of business at Plot 873/B15 Barlastone, in Lusaka, Zambia.
AND
THE CUSTOMER ("Buyer").
RECITALS
1. The Seller operates an online clothing store at http://luxfin.company.site
2. The Buyer wishes to purchase products from the Seller's online store.
TERMS AND CONDITIONS
1. Definitions
- "Product" means any clothing item or accessory or any other item listed on the Seller's website.
- "Purchase Price" means the total amount payable by the Buyer for the Product.
- "Delivery" means the transfer of possession of the Product to the Buyer.
2. Order Placement
- The Buyer shall place an order on the Seller's website by selecting the desired Product and following the checkout process.
- The Seller reserves the right to accept or reject any order.
Children's Use of the Website
The Seller's website is not intended for children under the age of 18 to make independent purchases.
- Children under 18 may only use the website under the supervision of a parent or guardian.
- Parents or guardians are permitted to make purchases on behalf of minors.

5. Liability
- The Seller shall not be liable for any damages or losses arising from the use of the Product.
- The Buyer indemnifies the Seller against any claims, damages, or losses.

Accuracy
The Seller ensures that Product descriptions on the website are accurate, complete, and up-to-date.
Product Variations
- The Seller reserves the right to make minor variations to Products, including:
- Color shade
- Fabric texture
- Sizing
Product Images and Videos
- Product images and videos are for illustrative purposes only.
- Actual Products may differ slightly from images and videos.
- The Buyer acknowledges that the Seller's Product images and videos are intended to provide a general representation of the Product and may not exactly replicate the Product's appearance, color, or texture.
Product Information
- The Seller provides product information, including:
- Materials
- Dimensions
- Care instructions
Disclaimer
- The Seller is not liable for any errors or omissions in Product descriptions.
Product Changes
- The Seller reserves the right to modify or discontinue Products without notice.
Buyer Acknowledgment
- The Buyer acknowledges that they have read and understood the Product description before placing an order.
7. Product Availability
- The Seller does not guarantee Product availability.
- The Seller notifies Buyers of out-of-stock Products.
8. Product Sizing and Fit
- The Seller provides size guides.
- The Buyer acknowledges sizing variations.
- The Buyer is responsible for selecting the correct size.
9. CANCELLATION POLICY
At Luxfin Clothing Store, we understand that sometimes circumstances change, and you may need to cancel your order. Our cancellation policy is designed to be fair and reasonable, while also protecting our business interests.

- After Payment Confirmation but Before Shipping: If you cancel your order after payment confirmation but before shipping, we will refund the full amount paid, minus any applicable payment processing fees.
- After Shipping: If you cancel your order after shipping, please refer to our Return and Refund Policy.
Cancellation Fees:
- No Cancellation Fee: If you cancel your order before payment confirmation or after payment confirmation but before shipping, we will not charge a cancellation fee.
- Payment Processing Fee: If you cancel your order after payment confirmation but before shipping, we will refund the full amount paid, minus any applicable payment processing fees.
Exceptions:
- Custom or Personalized Orders: We do not accept cancellations for custom or personalized orders, as these products are made-to-order and cannot be resold.
- Pre-Orders: We do not accept cancellations for pre-orders, as these products are ordered specifically for the customer and cannot be resold.
Refund Process:
- Refunds will be processed within 14 days of cancellation confirmation.
- Refunds will be made through the original payment method.
Changes to Terms:
We reserve the right to change this cancellation policy with or without notice. It is the customer's responsibility to review our cancellation policy before making a purchase.

The Seller respects the intellectual property rights of others and expects the same from the Buyer. The Seller is committed to adhering to all applicable laws and regulations regarding intellectual property.
Ownership
The Seller retains all intellectual property rights to the website and its content. This includes, but is not limited to:
- Copyrights
- Trademarks
- Trade secrets
- Patents
Usage;
- The Buyer shall not use the Seller's intellectual property without consent.
Copyright;
- The Seller retains copyright over website content and product designs made by the seller.
Trademark;
- The Seller's logo and brand name are registered trademarks.The Seller retains copyright and trademark rights.
Infringement Notification;
If the Buyer or any third party believes that their intellectual property rights have been infringed upon by the Seller or through the website, they shall notify the Seller in writing, providing sufficient detail to enable the Seller to investigate and take appropriate action.
The Seller shall take necessary steps to address any legitimate claims of intellectual property infringement.
Indemnification;
The Buyer agrees to indemnify and hold harmless the Seller, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising from or related to:
- Infringement of intellectual property rights
- Misuse of the website or its content
- Breach of these terms and conditions
12. Limitation of Liability
Damages
- The Seller is not liable for damages or losses arising from:
- Product misuse
- Delivery delays
- Website downtime
Liability Cap
- The Seller's liability is limited to the Purchase Price.
13. Prohibited Behavior
The Buyer shall not use the Seller's website for any unlawful, unauthorized, or prohibited purposes, including but not limited to:
- Hate speech, racism, or discriminatory content
- Political campaigns, elections, or party affiliations
- Harassment, bullying, or intimidation
- Spamming, phishing, or scamming
- Posting or transmitting obscene, indecent, or offensive content
- Infringing intellectual property rights
- Promoting or facilitating illegal activities
Account Suspension/Termination
The Seller reserves the right to suspend or terminate the Buyer's account, without notice, if the Buyer engages in any prohibited behavior. The Seller may also report such behavior to the relevant authorities.
The Buyer acknowledges that the Seller has the right to monitor and moderate content posted on its website and shall cooperate with the Seller in enforcing this clause.
14. Severability
- If any term is deemed invalid, other terms remain enforceable.
15. Amendments
- The Seller reserves the right to modify these terms and conditions.
16. Force Majeure
- The Seller is not liable for delays or failures due to unforeseen events.
17. Dispute Resolution
Arbitration
- Disputes arising from this Contract shall be resolved through arbitration.
- The arbitration shall be conducted by the Zambia Arbitration Centre.
- The arbitration rules shall be those of the Zambia Arbitration Centre.
18. Governing Law and Jurisdiction
Governing Law
- This Contract shall be governed by and construed in accordance with the laws of Zambia.
- Any disputes arising from this Contract shall be resolved through arbitration in accordance with the Arbitration Act, Cap 39 of the Laws of Zambia.
Jurisdiction
- The parties submit to the exclusive jurisdiction of the Zambian courts.
BUYER'S ACKNOWLEDGMENT
By using the Website and/or making a purchase on the seller's website, the Buyer acknowledges that they have read, understood, and agreed to be bound by these terms and conditions.
